AUTHORIZED REPRESENTATIVES CERTIFICATION. TO: ▇▇▇▇▇ Fargo Bank Document Custody Reference is hereby made to the Custodial Agreement, dated as of January 1, 2012, between U.S. Bank National Association, as Trustee, Redwood Residential Acquisition Corporation, as Seller, Sequoia Residential Funding, Inc., as Depositor, ▇▇▇▇▇ Fargo Bank, N.A., as Master Servicer, and ▇▇▇▇▇ Fargo Bank, N.A., as Custodian (the “Custodial Agreement”). Effective ________________ (date), the undersigned, a duly authorized representative of [[CEN/CTB/FRB/FCM/GFC/PHH/PL/SPS/SSB/WMC], as [Servicer/Originator]][U.S. Bank National Association, as Trustee][Sequoia Residential Funding, Inc., as Depositor][▇▇▇▇▇ Fargo Bank, N.A., as Master Servicer], hereby designates each of the persons whose names, titles, and signatures appear below as an Authorized Representative under the Custodial Agreement. This authorization will remain in place until such time as it is revoked, amended or supplemented in writing, by an officer of the Trustee or the Servicer. Capitalized terms not defined herein shall have the meaning ascribed to them in the Custodial Agreement. The above named company agrees to immediately notify ▇▇▇▇▇ Fargo Bank, N.A., or its successors or assigns (“▇▇▇▇▇ Fargo”), should any person named hereunder become ineligible as an Authorized Representative and shall indemnify ▇▇▇▇▇ Fargo and hold it harmless from and against any actions and/or suits whether groundless or otherwise and from and against any losses, damages, costs, charges, counsel fees, payments, expenses and liabilities (“Losses”) arising directly out of any action as an Authorized Representative under the Custodial Agreement of any person named in this list, except for liability arising out of ▇▇▇▇▇ Fargo’s negligence, wilful misconduct or bad faith. These indemnity provisions shall survive the termination or assignment of the pools or loans.
