Common use of Authorized Warrant Clause in Contracts

Authorized Warrant. The Company has authorized the issuance of the New Warrant and reserved for issuance, free from preemptive rights, shares of Common Stock equal to the number of shares for which the New Warrant is exercisable. The Underlying Shares have been duly authorized and, when issued upon exercise of the New Warrant will be duly and validly issued, fully paid and non-assessable and will not subject the holder thereof to personal liability by reason of being such holder.
