Common use of Automatic Exercise Prior to Expiration Clause in Contracts

Automatic Exercise Prior to Expiration. If not earlier exercised, this Warrant shall be deemed to have been exercised in full pursuant to Section 1.2 immediately prior to the expiration hereof, and upon such deemed exercise, and without any further act or deed of the holder hereof or any other person or entity, the Company shall issue to the Holder hereof the number of fully paid and non-assessable Series C Shares to which such holder would be entitled under Section 1.2.

If not earlier exercised, this Warrant shall be deemed to have been exercised in full on a net basis pursuant to Section 1.2 3(a) below immediately prior to the expiration hereof, and upon such deemed exercise, and without any further act or deed of the holder hereof Holder or any other person or entity, the Company shall issue to the Holder hereof the number of fully paid and non-assessable shares of Series C Shares Preferred Stock to which such holder Holder would be entitled under Section 1.2hereunder.
