AUTOMATIC TERMINATION OF PLAN. The Plan shall terminate on the date all shares of Stock subject to the Plan have been delivered pursuant to the Plan's provisions, and no such shares are any longer subject to any Restriction Period.

If the merger or consolidation qualifies as a change in the ownership or effective control of a corporation, or a change in the ownership of a substantial portion of the assets of a corporation as defined in Treas. Reg. 1.409A-3(i)(5), the Plan shall be liquidated upon such a termination in accordance with Treas. Reg. 1.409A-3(j)(4)(ix)(B), If the Plan is not liquidated, payments of distributions will continue to be made following the termination in accordance with Articles 5 and 6.
