Availability of Test Facility Clause Samples
The 'Availability of Test Facility' clause defines the obligation of one party to provide access to a designated facility for testing purposes. Typically, this clause outlines the conditions under which the facility will be made available, such as specific dates, times, or required notice periods, and may specify any limitations or requirements for use. Its core practical function is to ensure that parties have a clear understanding of when and how the test facility can be accessed, thereby preventing disputes and facilitating smooth project execution.
Availability of Test Facility. PalmSource agrees there shall be at least two (2) operational Approved Testing Labs for testing of Licensee Products or PalmSource will (i) itself perform compatibility testing for Licensee under this Section 2.3 subject to reasonable fees comparable to those charged by comparable independent testing labs, or (ii) provide Licensee with an alternate method of compatibility testing for the Licensee Products, such as self-testing.
