Available Pipeline. 2.4.1 During the Exclusivity Period, with respect to Available Pipeline, ▇▇.▇▇▇ shall have both an Offer Right (hereinafter defined) on Available Pipeline and a Right of Last Look (hereinafter defined) on Available Pipeline for which the Affiliated Companies have received a third-party offer, unless SBCC gives ▇▇.▇▇▇ notice that it is engaged in negotiations with respect to a transaction of the type described in Section 2.3 as to such Available Pipeline, in which case the Offer Right shall not be applicable.
