Common use of Avalon Liability Clause in Contracts

Avalon Liability. Except as otherwise provided in this Agreement, Avalon or a member of the Avalon Group shall pay or cause to be paid, directly to, or at the direction of, AWS (such direction may specify payment by direct wire transfer), at least two days prior to the date payment (including estimated payment) thereof is due, all Taxes due with respect to the Tax Returns described in Sections 2.2(a) and 2.2(b) that are attributable to any member or members of the Avalon Group, the respective assets or businesses of any member or members of the Avalon Group and any Avalon Tax Item.

Avalon Liability. Except as otherwise provided in this Agreement, Avalon or a member of the Avalon Group shall pay or cause to be paid, on a timely basis, all Taxes due with respect to the Tax Returns described in Section 2.2(c); provided, however, that AWS shall pay directly to, or at the direction of, AWS Avalon (such direction may specify payment by direct wire transfer), at least two days prior to the date payment (including estimated payment) thereof is due, all that portion of those Taxes due with respect to the Tax Returns described in Sections 2.2(a) and 2.2(b) that are attributable to any member or members of the Avalon AWS Group, the respective assets or businesses of any member or members of the Avalon AWS Group and or any Avalon AWS Tax Item.
