Average Parent Share Price. The "Average Parent Share Price" as of any date (the "Relevant Date") means the average of the daily volume-weighted sales prices per share of Parent Common Stock on the NASDAQ for each of the 5 consecutive trading days ending on the trading day that is two calendar days prior to the Relevant Date, or, if such ending date does not fall on a trading day, then the trading day immediately preceding the second calendar day prior to the Relevant Date (the "Valuation Period").
