None of the representations and warranties in this Agreement, any certificate to be furnished to the Buyer at Closing or the SEC Documents included (or will include in the case of the Closing Certificate) any untrue statements of material fact, or omits (or will omit in the case of the Closing Certificate) to state any material fact required to be stated therein necessary to make the statements made, in light of the circumstances under which they were made, not misleading.
