Common use of Back-up Disposition Agent Agreement Clause in Contracts

Back-up Disposition Agent Agreement. Neither RCFC nor DTAG shall amend the Back-Up Disposition Agent Agreement or the Back-up Servicing Agreement in a manner that materially adversely affects the Series 2010-3 Noteholders, as determined by the Administrative Agent in its sole discretion, without the prior written consent of the Series 2010-3 Required Noteholders and satisfaction of the Rating Agency Condition.
