Common use of Back-Up Manufacturing Rights Clause in Contracts

Back-Up Manufacturing Rights. If New River fails to supply at least [*] of Shire’s requirements for a Collaboration Product on a rolling [*] (a “Failure to Supply”), then Shire may, by providing written notice within [*] of the occurrence of such Failure to Supply, elect to assume manufacturing of such Collaboration Product.
