Common use of Bailees Clause in Contracts

Bailees. If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrower's or any Subsidiary's agents or processors, Borrower shall, upon the request of Agent, notify, or cause its Subsidiary to notify, such warehouseman, bailee, agent or processor of the security interests in favor of Agent, for the benefit of Lenders, created hereby and shall instruct such Person to hold all such Collateral for Agent's account subject to Agent's instructions.

Bailees. If any of the Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrower's or any Subsidiary's the Debtor’s agents or processors, Borrower shallthe Debtor shall notify the agent (and revise Schedule A to this Agreement to this effect), upon and at the request of the Agent, notify, or cause its Subsidiary to notify, notify such warehouseman, bailee, agent or processor of the security interests in favor of Agentinterest created hereunder, for the benefit of Lenders, created hereby and shall instruct such Person to hold all such Collateral for the Agent's ’s account subject to the Agent's instructions’s instructions and shall obtain for the Agent such Person’s acknowledgment of the same.

If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of a Borrower's or any Subsidiary's agents or processors, such Borrower shall, upon the request of Administrative Agent, notify, or cause its Subsidiary to notify, such warehouseman, bailee, agent or processor of the security interests in favor of Collateral Agent, for the benefit of Lenders, created hereby and shall instruct such Person to hold all such Collateral for Administrative Agent's account subject to Administrative Agent's and/or Collateral Agent's instructions.

If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of any Borrower's or any Subsidiary's agents or processors, such Borrower shall, upon the request of AgentLenders, notify, or cause its Subsidiary to notify, notify such warehouseman, bailee, agent or processor of the security interests in favor of Administrative and Documentation Agent, for the benefit of Lenders, created hereby and shall instruct such Person to hold all such Collateral for Administrative and Documentation Agent's account subject to Administrative and Documentation Agent's instructions.

If any Collateral is shall at any time be in the possession or control of any warehousemanwarehouse, bailee or any of Borrower's or any SubsidiaryDebtor's agents or processors, Borrower Debtor shall, upon the request of Agent, notify, or cause its Subsidiary to notify, notify any such warehousemanwarehouse, bailee, agent or processor of the security interests in favor of AgentSecurity Interests, for the benefit of Lenders, created hereby and shall instruct such Person to hold all such Collateral for Agent's account subject to Agent's instructionsinstructions and shall use commercially reasonably efforts to obtain an acknowledgement from such Person that such Person holds the Collateral for Agent's benefit.

If any of the Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrowerthe Debtor's or any Subsidiary's agents Agents or processors, Borrower shallthe Debtor shall notify the Agent (and revise Schedule A to this Agreement to this effect), upon and at the request of the Agent, notify, or cause its Subsidiary to notify, notify such warehouseman, bailee, agent Agent or processor of the security interests in favor of Agentinterest created hereunder, for the benefit of Lenders, created hereby and shall instruct such Person to hold all such Collateral for the Agent's account subject to the Agent's instructionsinstructions and shall obtain for the Agent such Person's acknowledgment of the same.

If any Collateral is at any time in the possession or control of any warehouseman, bailee or any of Borrower's or any Subsidiary's US Obligor’s agents or processors, Borrower shall, upon the request of Agent, Borrower shall notify, or cause its Subsidiary to notifyarrange the notification of, such warehouseman, bailee, agent or processor of the security interests (or applicable equivalents thereof) in favor favour of Agent, for the benefit of Agent and Lenders, created hereby or the other Loan Documents, and shall instruct such Person to hold all such Collateral for Agent's account ’s Account subject to Agent's ’s instructions.

If any Collateral is at any time in the possession or control of any warehouseman, bailee bailee, feedlot operator or any of Borrower's or any Subsidiary's agents or processors, Borrower shall, upon the request of Collateral Agent, notify, or cause its Subsidiary to notify, notify such warehouseman, bailee, feedlot operator, agent or processor of the security interests in favor of Collateral Agent, for the benefit of Agents and Lenders, created hereby and shall instruct such Person to hold all such Collateral for Collateral Agent's account subject to Collateral Agent's instructions.
