Bank Accounts, Signing Authority, Powers of Attorney. Except as set forth in Schedule 4.27, no Company has any account or safe deposit box in any bank and no person has any power, whether singly or jointly, to sign any checks on behalf of any Company, to withdraw any money or other property from any bank, brokerage or other account of any Company, or to act under any power of attorney granted by any Company at any time for any purpose. Schedule 4.27 also sets forth the names of all persons authorized to borrow money or sign notes on behalf of each Company.
