Bank Subordinated Guarantee. Upon execution and delivery of the Bank Subordinated Guarantee by the Bank, the provisions of the Bank Subordinated Guarantee shall be deemed to be incorporated herein and to be a part hereof except to the extent any such provisions shall conflict with any express provisions of this Agreement or of the Delaware Act.
