Common use of BANKRUPTCY, DISSOLUTION OF THE GENERAL PARTNER Clause in Contracts

BANKRUPTCY, DISSOLUTION OF THE GENERAL PARTNER. In the event of the bankruptcy or dissolution and commencement of winding up of the General Partner or the occurrence of any other event that causes the General Partner to cease to be a general partner of the Partnership under the Act, the Partnership shall be dissolved and its affairs shall be wound up as provided in Section 13, unless the business of the Partnership is continued pursuant to Section 13.1(a). The General Partner shall take no action voluntarily to declare bankruptcy or accomplish its dissolution prior to the dissolution of the Partnership. Notwithstanding any other provision of this Agreement, the bankruptcy of the General Partner will not cause the General Partner to cease to be a general partner of the Partnership, and upon the occurrence of such an event, the business of the Partnership shall continue without dissolution.
