Common use of Bankruptcy of Either Party Clause in Contracts

Bankruptcy of Either Party. If either Owner or Developer shall cease to exist, for any reason, during the term of this Agreement, or in the event a petition in bankruptcy, arrangement or reorganization is filed by or against either of them and such petition is not dismissed within sixty (60) days, or if either or them shall make an assignment for the benefit of creditors or take advantage of any insolvency law, the other of them may forthwith terminate this Agreement.

Bankruptcy of Either Party. If either Owner or Developer shall cease to exist, for any reason, during the term of this Agreement, or in the event a petition in bankruptcy, arrangement or reorganization is filed by or against either of them and such petition is not dismissed within sixty (60) days, or if either or them shall make an assignment for the benefit of creditors or take advantage of any insolvency law, the same shall be an Event of Default and the other of them may forthwith terminate this Agreement. Owner shall also have the right to terminate this Agreement if Developer's affiliate is removed as the Managing Member of Owner.
