Banks; Powers of Attorney. Section 4.31 of the Company Disclosure Schedule lists the names and locations of all banks in which the Company has accounts or safe deposit boxes and the names of all Persons authorized to draw thereon or to have access thereto. Except as set forth in Section 4.31 of the Company Disclosure Schedule, no Person holds a power of attorney to act on behalf of the Company.

Except as set forth in Section 4.31 , and (b) the names of the all persons to whom Company Disclosure Schedule, no Person holds or any of Company's Subsidiaries have granted a power of attorney to act on behalf of the Companyattorney, together with a description thereof.
