Common use of Base Compensation; Current Term Clause in Contracts

Base Compensation; Current Term. The Company shall compensate Executive for his services hereunder during the Current Term at a rate of $243,000 per annum, or such amount as the Board may from time to time determine ("Base Compensation"), payable in installments on the Company’s regular payroll dates for salaried executives. The Base Compensation rate shall be reviewed annually and may be increased or decreased, from time to time, provided, however, that Base Compensation shall only be decreased by the Board on a good faith basis and with reasonable justification for the same, and provided further, that in the event of a Change in Control, Base Compensation shall not be decreased.
