Basic Pricing Formula. (a) Pricing for the Top Level Assemblies shall be based on a mutually agreed pricing template, a form of which is attached hereto as Schedule C. The pricing of the Top Level Assemblies shall be the sum of the following pricing elements: [****] The cost of these elements shall be agreed on a quarterly basis and shall be fixed in the Pricing Confirmation Review.
