Common use of Belgium Clause in Contracts

Belgium. Other than in respect of Notes for which “Prohibition of sales to Belgian consumers” is specified as “Not Applicable” in the applicable Final Terms, each Dealer represents and agrees that it has not offered, sold or resold, transferred or delivered, and will not offer, sell, resell, transfer or deliver, the Notes, directly or indirectly, to any individual in Belgium qualifying as a consumer within the meaning of the Belgian Code of Economic Law (a Belgian Consumer) and that it has not offered, sold or resold, transferred or delivered, and will not offer, sell, resell, transfer or deliver, the Notes, and that it has not distributed, and will not distribute, any prospectus, memorandum, information circular, brochure or any similar documents in relation to the Notes, directly or indirectly, to any Belgian Consumer.

Other than in respect of Notes for which “"Prohibition of sales Sales to Belgian consumers” Consumers" is specified as “"Not Applicable” " in the applicable Final TermsTerms (or Pricing Supplement, in the case of any Exempt Notes), each Dealer represents has represented and agrees that it has not offered, sold or resold, transferred or deliveredagreed, and each further Dealer appointed under the Programme will be required to represent and agree, that an offering of Notes may not offer, sell, resell, transfer or deliver, the Notes, directly or indirectly, be advertised to any individual in Belgium qualifying as a consumer within the meaning of Article I.1 of the Belgian Code of Economic Law Law, as amended from time to time (a Belgian Consumer) and that it has not offered, sold or resold, transferred or delivered, and will not offer, sell, resell, transfer or deliver, the Notes, and that it has not distributed, and will not distribute, any prospectus, memorandum, information circular, brochure or any similar documents in relation to the Notes, directly or indirectly, to any Belgian Consumer.
