Common use of Beneficial Interests in Regulation S Global Notes to Restricted Definitive Notes Clause in Contracts

Beneficial Interests in Regulation S Global Notes to Restricted Definitive Notes. A holder of a beneficial interest in a Regulation S Global Note may transfer such beneficial inter- est to a Person who takes delivery thereof in the form of a Restricted Definitive Note upon the re- ceipt by the Registrar of a certificate from such holder substantially in the form of Exhibit B here- to, including the certifications in item (1) thereof. Any Definitive Note issued in exchange for a beneficial interest in a Regulation S Global Note pursuant to this Section 2.06(c)(iv) shall bear the Private Placement Legend and shall be subject to all restrictions on transfer contained therein.
