The Beneficiaries and Assignment clause defines who is entitled to benefit from the agreement and whether the parties can transfer their rights or obligations to others. Beneficiaries and Assignment. This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective heirs, successors, estates and/or legal representatives. The Executive may not assign this Agreement to a third party without prior written approval from the Company. The Company may assign its rights, together with its obligations hereunder, to any affiliate, subsidiary, or successor of the Company. Notwithstanding any such assignment by the Company, the Executive shall be entitled to receive compensation as set forth in Section B.2. of Article IV hereof.
