Common use of Benefit and Assignability Clause in Contracts

Benefit and Assignability. The rights, benefits, duties and obligations under this Agreement shall inure to the benefit of, and be binding upon, (x) the Company and its successors, and (y) Executive and his legal representatives. This Agreement constitutes a personal service agreement, and the performance of Executive’s obligations under this Agreement may not be transferred or assigned by Executive. This Agreement may be assigned by the Company in its sole discretion. The provisions of Sections 4, 5, 8, 9, 10(a), 10(f), 10(g), 10(i) and 10(j) shall continue in full force and effect notwithstanding the termination of Executive’s employment with the Company.
