Common use of Benefit and Binding Effect Clause in Contracts

Benefit and Binding Effect. This Agreement shall inure to the benefit of and be binding upon Company, its successors and assigns, including, but not limited to, any company, person, or other entity which may acquire all or substantially all of the assets and business of Company or any company with or into which Company may be consolidated or merged, and Executive, Executive’s heirs, executors, administrators, and legal representatives, provided that the obligations of Executive may not be delegated.

Benefit and Binding Effect. This Agreement shall inure to the benefit of and be binding upon Company, its successors and assigns, including, including but not limited to, to any company, person, or other entity which may acquire all or substantially all of the assets and business of Company or any company with or into which Company may be consolidated or merged, and Executive, Executive’s his heirs, executors, administrators, and legal representatives, provided that the obligations of Executive may not be delegated.

Without limiting the generality of the foregoing, the Company, without Employee's consent, may assign this Agreement and its rights hereunder to any person or entity that acquires substantially all of the obligations of Executive may not be delegatedCompany's business or assets.
