Benefit Plans Termination. The Company shall have terminated each of the Company 401(k) Plans and the Company Money Purchase Plan on terms reasonably satisfactory to Parent, shall have provided evidence reasonably satisfactory to Parent to ensure that all liabilities of the Company under such plans (including any liabilities relating to services performed prior to the Closing) are fully extinguished at no cost, and with no Liability, to the Acquired Corporations or the Surviving Corporation and its Affiliates that are not reflected on the Closing Balance Sheet.
