Common use of Benefits Acknowledged Clause in Contracts

Benefits Acknowledged. The Guarantors’ Guarantee is subject to the terms and conditions set forth in the Indenture. The Guarantors acknowledge that they shall receive direct and indirect benefits from the financing arrangements contemplated by the Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this Guarantee and this Supplemental Indenture are knowingly made in contemplation of such benefits.

Benefits Acknowledged. The Guarantors’ Parent Guarantor’s Guarantee is subject to the terms and conditions set forth in the Indenture. The Guarantors acknowledge Parent Guarantor acknowledges that they shall it will receive direct and indirect benefits from the financing arrangements contemplated by the Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this Guarantee and this Supplemental Indenture are knowingly made in contemplation of such benefits.

The Guarantors acknowledge Each Additional Guarantor acknowledges that they shall it will receive direct and indirect benefits from the financing arrangements contemplated by the Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this its Note Guarantee and this Supplemental Indenture are knowingly made in contemplation of such benefits.

The Each of the Additional Guarantors acknowledge acknowledges that they shall it will receive direct and indirect benefits from the financing arrangements contemplated by the Indenture and this Supplemental Indenture and that the guarantee and waivers made by it pursuant to this Guarantee and this Second Supplemental Indenture are knowingly made in contemplation of such benefits.
