Benefits Committee and Dispute Resolution. From the date of this Agreement through the later of the Distribution Date or the end of the Post- Distribution Period, as applicable, the management of the Plans shall be conducted under the supervision of the Benefits Committee. The Benefits Committee shall consist of an equal number of representatives from MRV and Luminent as appointed by the MRV Senior Vice President, Human Resources, and the functional equivalent of Luminent, and shall provide strategic oversight and direction of the cohesive administration of the Plans. Issues that cannot be resolved by the Benefits Committee 20 shall be decided, at the request of either party, by the Luminent Senior Vice President, Human Resources (or the functional equivalent) (or his or her authorized delegate) and the MRV Senior Vice President, Human Resources (or his or her authorized delegate). After the exhaustion of the process, as specified herein, any outstanding issue shall be resolved in accordance with Section 5.9 of the Separation Agreement, entitled "Dispute Resolution."
