Benefits of Agreement; Assignment. The terms and provisions of this Agreement shall be binding upon and inure to the benefit of the parties hereto and their respective successors, assigns, representatives, heirs and estate, as applicable. The Executive may assign this Agreement. The Company may not assign this Agreement to any of its subsidiaries or a corporation formed for the purpose of changing the Company's domicile without the Executive's consent. Any other assignments by the Company shall require the Executive's prior written consent, which shall not be unreasonably withheld.
