BENEFITS ROLLOVER. After Closing and until December 31, 1999, Amaz▇▇.▇▇▇, ▇▇e Surviving Corporation and their affiliates shall provide employees of the Company who become employed by Amaz▇▇.▇▇▇ ▇▇ the Surviving Corporation or any of their affiliates on the Closing Date or as a result of the transactions contemplated herein (the "Retained Employees") with employee benefit plans, policies, programs and arrangements that in the aggregate are not materially less favorable than those currently provided to such employees by the Company. For purposes of determining the amount of vacation and sick leave to which Retained Employees shall be entitled upon becoming employees of Amaz▇▇.▇▇▇, ▇▇e Surviving Corporation or any of their affiliates, Amaz▇▇.▇▇▇, ▇▇e Surviving Corporation and each of their affiliates shall treat each Retained Employee's entire period of employment with the Company as if it had been employment with Amaz▇▇.▇▇▇, ▇▇e Surviving Corporation and their affiliates, even though the Retained Employees were not actually employed by Amaz▇▇.▇▇▇ ▇▇ any of its affiliates prior to Closing.
