Berkeley County Facility. Jefferson City Medical Investors, LLC and Lighthouse Care Centers of Berkeley County, LLC shall have consummated the sale and transfer to Lighthouse Care Centers of Berkeley County, LLC of (a) the Real Property on which the Berkeley County Facility is located, and (b) all assets owned by Jefferson City Medical Investors, LLC relating to the Berkeley County Facility required to be transferred as Assets to Purchaser hereunder, all on terms reasonably satisfactory to Purchaser.
