Bermuda Requirements. The Agent shall have received a certificate of compliance issued by the Bermuda regulatory authorities (Registrar of Companies and, if applicable, the Bermuda Monetary Authority) for each of the Parent and the Obligor in form and substance satisfactory to the Agent.
