Bespoke Services. 3.1 Where agreed in writing, Storyful shall supply the Bespoke Services to Client in accordance with this Agreement and any applicable Statement of Work. In supplying the Bespoke Services, Storyful shall: (a) perform the Bespoke Services with reasonable care and skill; (b) use reasonable endeavours to perform the Bespoke Services in accordance with the service description set out in each applicable Statement of Work; and (c) comply with all applicable laws, statutes and regulations from time to time in force, provided that Storyful shall not be liable under this Agreement if, as a result of such compliance, it is in breach of any of its obligations under this Agreement. 3.2 Client shall: (a) co-operate with Storyful in all matters relating to the Bespoke Services; (b) if requested by Storyful, provide clear and legible attribution in respect of Bespoke Services at least equal in all material respects to any other provider of comparable services, or as otherwise requested by Storyful, for example: “additional reporting by Storyful”; (c) provide, for Storyful, its agents, subcontractors, consultants and employees, in a timely manner and at no charge, access to Client’s data and other materials as reasonably required by Storyful or any of them in connection with the provision of Bespoke Services; and (d) provide, in a timely manner, such information as Storyful may reasonably require, and ensure that it is accurate in all material respects. 3.3 If Storyful’s performance of its obligations under this Agreement for Bespoke Services is prevented or delayed by any act or omission of Client, its agents, subcontractors, consultants or employees, Storyful shall: (a) not be liable for any costs, charges or losses sustained or incurred by Client that arise directly or indirectly from such prevention or delay; (b) be entitled to payment of the Fees despite any such prevention or delay; and (c) be entitled to recover any additional costs, charges or losses Storyful sustains or incurs that arise directly or indirectly from such prevention or delay.
Bespoke Services. In those instances where a bespoke Service Area (i.e. a Service Area not already offered within the Online Services Tool) or a variation to an existing Service Area is required, then the following procedure shall apply:  the proposed Service Area or variation shall be discussed by the Parties. This shall include, but not be limited to, scope, cost, dependencies, timescales and any applicable special conditions.  once agreed in principle Entrust shall then render the agreed scope and make it available on the Online Services Tool or, in the case of a variation, make the necessary adjustments to an existing Service Area as agreed. The Customer shall then indicate its formal acceptance of the change by selecting the relevant Service Area through the Online Services Tool in the usual way.
Bespoke Services. 4.1 If applicable, the Parties shall meet to discuss and agree the Specification. During the meeting we shall make suggestions and advise on what should be included in the Specification, however it will be at your discretion whether you accept such suggestions, and you shall be responsible to ensure that the Speciation meets your individual needs and requirements. 4.2 You warrant that you will provide us with such assistance and instructions that we may reasonably require to provide the Bespoke Services and we shall have no Liability (subject to Clause 13.2) for any failure to provide the Modified Equipment in accordance with the Specification to the extent caused by your failure to properly ensure the provision of the relevant information, and to the extent we have followed your instructions. 4.3 The Parties acknowledge that, as between them, we shall retain ownership of all Intellectual Property Rights in the Technology.
Bespoke Services. The provision of the following Services by the Supplier to the Customer, the latter as member of COMMUNITY: • Performance of co-ordination role between the Supplier, the Customer and the other COMMUNITY Members; • Creation and maintenance of the Generic Threat Intelligence Report for the COMMUNITY, twice per year during the Term; and • Two briefings per year for the COMMUNITY on the current and future landscape of cyber threat intelligence, as well as any specific areas requested by COMMUNITY. in each case as more particularly outlined in the Supplier's proposal document included in the Appendix to this Agreement. In case of inconsistencies between this Agreement and the Appendix the provisions of the Agreement prevail.

  • Hospice Services Services are available for a Member whose Attending Physician has determined the Member's illness will result in a remaining life span of six months or less.

  • Telemedicine Services This plan covers clinically appropriate telemedicine services when the service is provided via remote access through an on-line service or other interactive audio and video telecommunications system in accordance with R.I. General Law § 27-81-1. Clinically appropriate telemedicine services may be obtained from a network provider, and from our designated telemedicine service provider. When you seek telemedicine services from our designated telemedicine service provider, the amount you pay is listed in the Summary of Medical Benefits. When you receive a covered healthcare service from a network provider via remote access, the amount you pay depends on the covered healthcare service you receive, as indicated in the Summary of Medical Benefits. For information about telemedicine services, our designated telemedicine service provider, and how to access telemedicine services, please visit our website or contact our Customer Service Department.

  • Online Services Microsoft warrants that each Online Service will perform in accordance with the applicable SLA during Customer’s use. Customer’s remedies for breach of this warranty are described in the SLA.

  • Outside Services Consultant shall not use the service of any other person, entity, or organization in the performance of Consultant’s duties without the prior written consent of an officer of the Company. Should the Company consent to the use by Consultant of the services of any other person, entity, or organization, no information regarding the services to be performed under this Agreement shall be disclosed to that person, entity, or organization until such person, entity, or organization has executed an agreement to protect the confidentiality of the Company’s Confidential Information (as defined in Article 5) and the Company’s absolute and complete ownership of all right, title, and interest in the work performed under this Agreement.

  • Cloud Services Unless otherwise stated in the Agreement or in the Order, Company grants Customer a limited, non-transferable, non-sublicenseable, non-exclusive, worldwide license to access and use the Number of Units of Cloud Services during the Term solely for internal business purposes in accordance with the applicable license restrictions stated in the Business Unit Terms, Order, and Documentation.   • Autism Services This plan covers the following services for the treatment of autism spectrum disorders. • Applied behavior analysis when provided and/or supervised by an individual licensed by the state in which the service is rendered. See the Summary of Medical Benefits for the amount that you pay. • Physical therapy, occupational therapy, and speech therapy services when rendered as part of the treatment of autism spectrum disorder. A benefit limit will not apply to these services. • Psychological and psychiatric services, and prescription drugs are also covered. See Behavioral Health Services and Prescription Drugs and Diabetic Equipment or Supplies for additional information. Coverage for autism spectrum disorders does not affect any obligation of a school district, a state or other governmental entity to provide services to an individual under an individualized family service plan, an individualized education program, or similar services required under state or federal law. Services related to autism that are furnished by school personnel are not covered under this plan.

  • Software Services If elected by Customer, the following Software Services will be made available for Customer’s use. 2.1. Core HR Software Service is a system of interactive web pages to assist Customer in its human resource related recordkeeping and reporting. Customer shall ensure the accuracy of its Customer Data. The HR Software Services shall function in accordance with the Documentation, as may be amended from time to time, and provide features to aid Customer with its compliance with federal and state laws and regulations applicable to Human Resources (except as stated otherwise in the Documentation). 2.2. Recruiting Software Service is a system of interactive web pages to assist Customer in posting job requisitions, storing candidates, recording job applications, and the related recordkeeping and reporting. Customer shall ensure the accuracy of its Customer Data. The Recruiting Software Service shall function in accordance with the Documentation which may be amended from time to time.

  • OUR SERVICES As insurance intermediaries we generally act as the agent of our client. We are subject to the law of agency, which imposes various duties on us. However, in certain circumstances we may act for and owe duties of care to other parties, including the insurer. We will advise you when these circumstances occur, so you will be aware of any possible conflict of interest. We offer a wide range of products and services which may include: • Offering you a single or range of products from which to choose a product that suits your insurance needs; • Advising you on your insurance needs; • Arranging suitable insurance cover with insurers to meet your requirements; • Helping you with any subsequent changes to your insurance you have to make; • Providing all reasonable assistance with any claim you make. In some cases, we act for insurers under a delegated authority agreement and can enter into insurance policies, issue policy documentation and/or handle or settle claims on their behalf. Where we act on behalf of the insurer and not you, we will notify you accordingly and in relation to claims we will advise you of this fact when you notify us of a claim. Notwithstanding this, we endeavour to always act in your best interest. As intermediaries, we offer a wide range of insurance products and have access to many leading insurance companies and the Lloyd’s market. Depending on the type of cover you require and where we have provided advice based on a personal recommendation, we will offer you a policy from either: • a single insurer; • a limited range of insurers; or • a fair analysis that is representative of the insurance market. We will advise you separately as to which of these apply before we arrange your policy and where we have not undertaken a fair analysis of the market, we will provide you with a list of insurers considered. This means sufficient information will be provided for you to make an informed decision about any product purchased online and you should therefore ensure that any policy provides the cover you require and is suitable for your needs. For Motor Vehicle insurance we require customers to pay an additional charge for our claims service – Coversure Claimsline (details are provided in a separate document). This is a “one-stop” service that enables us to assist you with any claim you may incur. The cost of the Coversure Claimsline services will be included in the price quoted to you for the Motor Vehicle insurance and shown separately in your documentation. By purchasing motor insurance from us, you authorise Coversure and its agents to take all necessary actions to handle your claim including dealing with your insurers, third parties and their insurers and other service suppliers on your behalf. For all other policies, including optional additional products and premium finance (if relevant), before the insurance contract is concluded and after we have assessed your demands & needs, we will provide you with advice and make a personal recommendation. This will include sufficient information to enable you to make an informed decision about the policy that we have recommended, together with a quotation which will itemise any fees that are payable in addition to the premium. This documentation will also include a statement of your demands and needs. You should read this carefully as it will explain reasons for making the recommendation we have made.

  • Web Services Our Web Services are designed to enable you to easily establish a presence on the Internet. Our Web Hosting and Design is composed of our Web Hosting and Design Publishing Component and other miscellaneous components. These components may be used independently or in conjunction with each other.

  • Beta Services From time to time, We may invite You to try Beta Services at no charge. You may accept or decline any such trial in Your sole discretion. Beta Services will be clearly designated as beta, pilot, limited release, developer preview, non-production, evaluation or by a description of similar import. Beta Services are for evaluation purposes and not for production use, are not considered “Services” under this Agreement, are not supported, and may be subject to additional terms. Unless otherwise stated, any Beta Services trial period will expire upon the earlier of one year from the trial start date or the date that a version of the Beta Services becomes generally available. We may discontinue Beta Services at any time in Our sole discretion and may never make them generally available. We will have no liability for any harm or damage arising out of or in connection with a Beta Service.
