Common use of Best Efforts and Formation of Selling Group Clause in Contracts

Best Efforts and Formation of Selling Group. Dealer Manager agrees to use its best efforts to effect sales of the Shares on the terms and conditions described herein and in the Prospectus and to form and manage a selling group composed of participating broker-dealers (the “Dealers”), each of which shall: (i) be registered with the SEC, a member of FINRA, and duly licensed or registered by the regulatory authorities in the jurisdictions in which they will offer and sale Shares, (ii) have been previously approved by the Company (such approval not to be unreasonably withheld or delayed), and (iii) enter into a “Selected Dealer Agreement” in substantially the form attached to this Agreement as Exhibit A. The Company shall have the right to approve any material modifications or addendums to the form of the Selected Dealer Agreement.
