Common use of Best Efforts and Further Assurances Clause in Contracts

Best Efforts and Further Assurances. Subject to the respective rights ----------------------------------- and obligations of Acquiror and Target under this Agreement, each of the parties to this Agreement will use its reasonable best efforts to effectuate the Merger and the other transactions contemplated hereby and to fulfill and cause to be fulfilled the conditions to closing under this Agreement. Each party hereto, at the reasonable request of another party hereto, will execute and deliver such other instruments and do and perform such other acts and things as may be necessary or desirable for effecting completely the consummation of the transactions contemplated hereby.
