Common use of Best Efforts and Further Assurances Clause in Contracts

Best Efforts and Further Assurances. Each of the parties to this Agreement shall use its best efforts to effectuate the transactions contemplated hereby and to fulfill and cause to be fulfilled the conditions to Closing under this Agreement. Each party hereto, at the reasonable request of another party hereto, shall execute and deliver such other instruments and do and perform such other acts and things as may be necessary or desirable for effecting completely the consummation of this Agreement and the transactions contemplated hereby. The parties hereto agree that, subsequent to the Effective Time, they will at the request of the other party, execute and deliver such additional conveyances, transfers and other assurances as, in the opinion of such party's counsel, are reasonably required to carry out the intent of this Agreement. The Company Shareholder agrees to take all steps reasonably required by Parent to assist Parent in retaining the goodwill of the Company and in particular to retain all employees who have entered into employment agreements with Parent
