The Company hereby expressly acknowledges that the Placement Agent is under no obligation to purchase any number of Shares in a manner which may be construed as a firm underwriting or commitment and that the sum and substance of this relationship is strictly characterized by the term(s) "agent," "finder," and "best efforts" as these terms are generally defined by applicable rules and regulations as promulgated by the Securities Exchange Commission and NASD.
