Best Efforts to Secure Consents. Seller and Shareholder shall take, and shall cause Seller to take such actions and use their best efforts to secure before the Closing Date all necessary consents and approvals required to carry out the transactions contemplated by the Agreement and to satisfy all other conditions precedent to the obligations of Purchaser and Seller, including the Required Consents set out in Exhibit 5.3.
