BGC Partners Contribution of Newmark Opco Units Prior to the Distribution. Prior to the Distribution, to the extent that BGC Partners receives any Newmark Opco Units as a result of any exchange of Newmark Holdings Units pursuant to the BGC Holdings Limited Partnership Agreement or as a result of any contribution or purchase by BGC Partners pursuant to Section 6.12(a), then, in each case, BGC Partners will contribute such Newmark Opco Units to Newmark in exchange for a number of newly issued shares of Newmark Common Stock equal to the number of Newmark Opco Units being contributed multiplied by the Exchange Ratio.
