Bid Assistance. (a) In the process of deciding whether to undertake or allow any cessation of Services, or any termination, expiration or renewal of this Agreement, in whole or in part, Health Net may consider or seek offers for performance of services similar to the Services. As and when reasonably requested by Health Net for use in any such process, Supplier will provide to Health Net such information and other cooperation regarding performance of the Services as would be reasonably necessary to enable Health Net to prepare a request for proposal relating to some or all of such services, and for a third party to conduct due diligence and prepare an informed, non-qualified offer for such services.
Bid Assistance. The CONSULTANT shall provide contract document and bid assistance to INDOT and the LPA, including review of INDOT’s Contract Information Book and addressing contractor inquiries.
Bid Assistance. In the process of evaluating whether to undertake or allow termination, expiration or renewal of IT Service Agreement this Agreement, HPI or other Service Recipients may consider obtaining, or determine to obtain, offers for performance of services similar to the Services following termination or expiration of this Agreement. As and when reasonably requested by HPI for use in this process, HPES will provide to HPI or other Service Recipients such information and other cooperation regarding performance of the Services as would be reasonably necessary for a third party to prepare an informed, non-qualified offer for such services, and for a third party not to be disadvantaged compared to HPES if HPES were to be invited by HPI to submit a proposal. The types of information and level of cooperation to be provided by HPES pursuant to this Section will be no less than those initially provided by HPI to HPES prior to commencement of this Agreement. HPES’ support in this respect will include providing information regarding Equipment, Software, Service Level performance, volumetrics, staffing and other matters as applicable to this Section.
Bid Assistance. In the process of evaluating whether to undertake or allow termination/expiration or renewal of this Agreement, ACI may consider obtaining, or determine to obtain, offers for performance of services similar to the Services following termination or expiration of this Agreement. As and when reasonably requested by ACI for use in such a process, Vendor shall provide to ACI such information and other cooperation regarding performance of the Services as would be reasonably necessary for a third party to prepare an informed, non-qualified offer for such services, and for a third party not to be disadvantaged compared to Vendor if Vendor were to be invited by ACI to submit a proposal. The types of information and level of cooperation to be provided by Vendor shall be no less than those initially provided by ACI to Vendor prior to commencement of this Agreement. Vendor’s support in this respect shall include providing information regarding Equipment, Software, staffing and other matters that Vendor would otherwise provide as part of Termination/Expiration Assistance. Subject to Section 3.5, Vendor shall provide such support at no additional charge.
Bid Assistance. In the event of termination or expiration of this Agreement, Siemens shall, at TRX’s request, provide TRX with reasonable assistance required by TRX in order to prepare a request for proposal (“RFP”) for the Services or for any component of the Services. Such bid assistance shall be provided at a cost to TRX as mutually agreed by the parties and shall include, without limitation, providing organizational charts of Siemens outlining the resources necessary to provide the Services, lists of all Siemens and third party software used in providing the Services including a description of all applications, a high level summary of costs related to the provision of the Services and suggested vendors for component parts of the Services and support with negotiating terms with such vendors.
Bid Assistance. (a) In the process of deciding whether to undertake or allow any cessation of Services, or any termination, expiration or renewal of this Agreement, in whole or in part, Triple-S may consider or seek offers for performance of services to replace the Services. As and when reasonably requested by Triple-S for use in any such process, Supplier will provide to Triple-S such information and other cooperation regarding performance of the Services as would be reasonably necessary to enable Triple-S to prepare a request for proposal relating to some or all of such services, and for a third party to conduct due diligence and prepare an informed, non-qualified offer for such services.
Bid Assistance. (a) In the process of deciding whether to undertake or allow any cessation of Services, or any termination, expiration or renewal of this Agreement, in whole or in part, Voya Group may consider or seek offers for performance of services similar to the Services. As and when reasonably requested by Voya Group for use in any such process, Supplier will provide to Voya Group such information and other cooperation regarding performance of the Services as would be reasonably necessary to enable Voya Group to prepare a request for proposal relating to some or all of such services, and for a third party to conduct due diligence and prepare an informed, non-qualified offer for such services.
Bid Assistance. As part of evaluating whether to undertake or allow termination/expiration or renewal of this Agreement or one or more Service Towers, RFS may consider obtaining, or determine to obtain, offers for performance of services similar to the Services following termination/expiration of this Agreement. The information RFS may provide to such parties in connection with such activities may include performance requirements (including Service Level agreements, so long as they are not expressly identified as the Service Levels that First Data has agreed to), business requirements, volume and type of Services received and similar information, but excluding First Data’s User Manuals, the Charges, or other First Data Confidential Information. As and when reasonably requested by RFS for use in such a process, and subject to the confidentiality obligations in Section 14.5, First Data shall provide to RFS reasonable information and other reasonable cooperation in connection with such process.
Bid Assistance. As part of evaluating whether to undertake or allow termination/expiration or renewal of this Agreement, Capital One may consider obtaining, or determine to obtain, offers for performance of services similar to the Services following termination/expiration of this Agreement. As and when reasonably requested by Capital One for use in such a process, TSYS shall reasonably cooperate with Capital One and shall not frustrate the process, including by [***] Capital One develops in connection with such process. In connection therewith Capital One shall be permitted, without obligation of confidentiality to TSYS to provide information about Capital One’s Accounts, the information covered by Section 19.8(c), and [***] to Capital One, although it may not provide the [***] reports provided by TSYS.
Bid Assistance. Consultant will assist City with advertising project to construction contractors and bid assistance, bid review, and bid award. Tasks will include: • Assist City with posting bidding documents for contractors. (Otak only) • Assist at pre-bid meeting and site tour (including assistance with agenda and sign-in sheet) and provide meeting notes. (Otak only) • Assist with bid inquiries and questions.
