Common use of Bill xx Sale Clause in Contracts

Bill xx Sale. A general bill xx sale, assignment and assumption substantially in the form of Exhibit 5.2.2 hereto, transferring to Purchaser good and indefeasible title to all of the tangible personal property included in the Purchased Assets, subject only to Permitted Encumbrances and the Assumed Liabilities and assigning to Purchaser, to the extent assignable, Seller's right, title and interest in each of the Contracts, Permits and other agreements included in the Purchased Assets, together with all consents of third parties that Seller has been able to obtain that are required to make each such assignment effective to such third parties;

Bill xx Sale. A general bill xx sale, assignment and assumption substantially in the form of Exhibit 5.2.2 hereto, transferring to Purchaser good and indefeasible title to all of the tangible personal property included in the Purchased Assets, subject only to Permitted Encumbrances and the Assumed Liabilities and assigning to Purchaser, to the extent assignable, Seller's right, title and interest in each of the Contracts, Permits and other agreements included in the Purchased Assets, together with all consents of third parties that Seller has been able to obtain that are required to make each such assignment effective to such third partieseffective;

A duly executed general bill xx sale, assignment and assumption substantially in the form of Schedule Exhibit 5.2.2 hereto, transferring to Purchaser good and indefeasible marketable title to all of the tangible personal property included in the Purchased Assets, subject only to Permitted Encumbrances and the Assumed Liabilities and assigning to Purchaser, to the extent assignable, Seller's right, title and interest in each of the Contractscontracts, Permits permits and other agreements included in the Purchased Assets, together with all consents of third parties that Seller has been able to obtain that are required to make each such assignment effective to such third parties;
