Common use of BILLS AND PAYMENTS RECEIVED AFTER CLOSING Clause in Contracts

BILLS AND PAYMENTS RECEIVED AFTER CLOSING. Purchaser shall promptly send Seller any bills or other notices that payment is due that Purchaser receives after Closing related to obligations of Seller not assumed by Purchaser under this Agreement, and Seller shall timely pay such bills or other debts on or before the date that such bills are due. Seller shall promptly send Purchaser any bills or other notices that payment is due that Seller receives after Closing related to obligations of Seller expressly assumed by Purchaser under this Agreement, and Purchaser shall timely pay such bills or other debts on or before the date that such bills are due. Seller and Purchaser shall each promptly send to the other any payments received by them after Closing that is an asset of the other.
