Binding Agreement; Authority. Arbinet hereby represents and warrants that this Agreement has been duly authorized, executed and delivered by Arbinet, and is a valid and binding obligation of Arbinet, enforceable against Arbinet in accordance with its terms. Each of the Stockholders represents and warrants that this Agreement has been duly authorized, executed and delivered by such Stockholder, and is a valid and binding obligation of such Stockholder, enforceable against such Stockholder in accordance with its terms.
Binding Agreement; Authority. The terms and conditions of this Agreement are binding on both Parties, and govern only during the term of this XXX, and upon expiration each party reserves all of its rights pertaining to the subject matter contained herein. Each of the Stockholders represents and warrants that this Agreement has been duly authorized, executed and delivered by such Stockholder, and is a valid and binding obligation of such Stockholder, enforceable against such Stockholder in accordance with its terms.
Binding Agreement; Authority. The Company hereby represents and warrants that this Agreement has been duly authorized, executed and delivered by the Company, and is a valid and binding obligation of the Company, enforceable against it in accordance with its terms. Each of the Stockholders represents and warrants that this Agreement has been duly authorized, executed and delivered by such Stockholder, and is a valid and binding obligation of such Stockholder, enforceable against such Stockholder in accordance with its terms.
Binding Agreement; Authority. This Investment Representation Letter constitutes Shareholder's valid and legally binding obligation, enforceable in accordance with its terms, except as may be limited by (a) applicable bankruptcy, insolvency, reorganization, moratorium or other similar laws now or hereafter in effect relating to creditors' rights generally, and (b) rules of law and equity governing specific performance, injunctive relief and other equitable remedies. Shareholder has executed, delivered and performed his/her/its obligations under, and has all requisite legal power, authority and capacity to execute, deliver and perform his/her/its obligations under, this Investment Representation Letter. The execution, delivery and performance by Shareholder of this Investment Representation Letter have been duly and validly approved and authorized by all necessary corporate, trust, partnership or custodial action required by applicable law.
Binding Agreement; Authority. This Settlement Agreement will be binding upon the Parties’ successors and assigns. The individuals executing this Settlement Agreement on behalf of any Party or Parties represent that they have obtained all necessary approvals and authority to so execute this Settlement Agreement. The Parties further represent that they execute this Settlement Agreement willingly, voluntarily, and with adequate opportunity to consult counsel of their choosing.

This Stockholder Representation Agreement constitutes Stockholder’s valid and legally binding obligation, enforceable in accordance with its terms, except as may be limited by (a) applicable bankruptcy, insolvency, reorganization, moratorium or other similar laws now or hereafter in effect relating to creditors’ rights generally, and (b) rules of law and equity governing specific performance, injunctive relief and other equitable remedies. Sxxxxxxxxxx has executed, delivered and performed his/her/its obligations under, and has all requisite legal power, authority and capacity to execute, deliver and perform his/her/its obligations under this Stockholder Representation Agreement. The execution, delivery and performance by Stockholder of this Stockholder Representation Agreement have been duly and validly approved and authorized by all necessary corporate, trust, partnership or custodial action required by Applicable Law. If this Stockholder Representation Agreement is being executed by a person in a representative or fiduciary capacity with regard to Stockholder, the person signing this Stockholder Representation Agreement has full power and authority to enter into, execute and deliver, and perform this Stockholder Representation Agreement. Each Webshots Shareholder represents that such Webshots Shareholder has all legal power, authority and capacity to execute, deliver and perform his/her obligations under, this Agreement.
