Binding Effect and Benefits. This Agreement shall be binding upon and shall inure to the benefit of the Parties and their respective heirs, successors and assigns, but may not be assigned by any party without the prior written consent of the Representative in the case of a purported assignment by the Buyer, or by the Buyer in the case of a purported assignment by any Seller.
