Binding Effect and Governing Law. This Agreement shall bind and inure to the benefit of the parties hereto, the successors and assigns of the Corporation and the persons to whom the rights of the Optionee are transferred by will or the laws of descent and distribution. This Agreement shall be governed by, and construed in accordance with, the laws of the State of Alabama.
