Binding Effect and Governing Law. This Agreement shall not be deemed to create any right in any party except as provided herein and shall inure to the benefit of, and by binding upon, the successors and assigns of Selmer and TFC. THIS AGREEMENT SHALL BE GOVERNED BY, AND CONSTRUED IN ACCORDANCE WITH, THE LAWS OF THE STATE OF RHODE ISLAND, WITHOUT REFERENCE TO APPLICABLE CONFLICT OF LAW PRINCIPLES.
