Common use of Binding Effect; Assignment; Third-Party Beneficiaries Clause in Contracts

Binding Effect; Assignment; Third-Party Beneficiaries. This Agreement shall be binding upon and inure to the benefit of and be enforceable by the parties hereto and any of their respective successors, personal representatives and permitted assigns who agree in writing to be bound by the terms hereof. Neither this Agreement nor any of the rights, interests or obligations hereunder may be assigned by the Optionee without the prior written consent of the Company.

Except as provided in Article VI with respect to Persons entitled to indemnification thereunder, nothing in this Agreement shall create or be deemed to create any third party beneficiary rights in any Person.

None of these parties hereto and shall assign this Agreement or any of their respective successorsrights hereunder, personal representatives and permitted assigns who agree in writing to be bound by the terms hereof. Neither or delegate any of their obligations under this Agreement nor any (other than by operation of law, in which case notice of such assignment shall be given to the rights, interests or obligations hereunder may be assigned by the Optionee remaining parties) without the prior written consent of the Companyremaining parties hereto. Any assignment in violation of the provisions of this Section 3.7 shall be null and void.
