Binding Effect; Assignment. This Agreement and all of the provisions hereof shall be binding upon and inure to the benefit of the Parties and their respective successors and permitted assigns. Notwithstanding the assigning Party foregoing, the Seller may assign some or all of its rights and obligations hereunderunder this Agreement to Sub.

This No assignment of this Agreement shall not or of any rights or obligations hereunder may be assigned made by either IDX or ChannelHealth, on the one hand, or Allscripts, Parent, Sub A or Sub B, on the other (by operation of law or otherwise otherwise) without the prior written consent of the other Parties, party hereto and any attempted assignment without such the required consent shall be null and void; provided that no such assignment shall relieve the assigning Party of its obligations hereunder.
