Common use of Binding Effect; Benefit Clause in Contracts

Binding Effect; Benefit. This Agreement shall inure to the benefit of and be binding upon the parties hereto, and their successors and permitted assigns. Nothing in this Agreement, express or implied, shall confer on any person other than the parties hereto, and their respective successors and permitted assigns, any rights, remedies, obligations or liabilities under or by reason of this Agreement, including, without limitation, third party beneficiary rights, except that Consumer Products shall be a third party beneficiary of Section 6.12.

For the avoidance of doubt and without limiting the foregoing, except that Consumer Products the Company shall be deemed a third party beneficiary successor to the Purchaser for purposes of Section 6.12this Agreement upon consummation of the Merger.
