Common use of Binding Effect; Conflicts Clause in Contracts

Binding Effect; Conflicts. Subject to the provisions of this Agreement relating to transferability, this Agreement will be binding upon and inure to the benefit of the Members and their respective distributees, successors and assigns. This Agreement is subject to, and governed by, the Law and the Certificate. In the event of a direct conflict between the provisions of this Agreement and the mandatory provisions of the Law or the provisions of the Certificate, the provisions of the Law or the Certificate, as the case may be, will be controlling.
