Binding Effect; Countersignature by Warrant Agent Clause Samples

The "Binding Effect; Countersignature by Warrant Agent" clause establishes that the agreement is legally binding on all parties once it is properly executed, and specifically requires the warrant agent to countersign the document for it to become effective. In practice, this means that the rights and obligations outlined in the agreement apply to all signatories and their successors, but only after the warrant agent has added their official signature, confirming their acceptance and participation. This clause ensures that the warrant agent's involvement is formally acknowledged, preventing the agreement from taking effect without their explicit consent and thereby safeguarding the interests of all parties involved.
